Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective as of January 15, 2010, Mr. A. D. Whittaker, having reached the mandatory retirement age set forth in the Bylaws of Union Bankshares Corporation (“the Company”), has advised the Board of Directors of the Company of his resignation from the Board. Mr. Whittaker was elected to the Board of Directors of Union Bank and Trust Company in 1981; he has served on the Board of Directors of the Company since July 1993.
