Item 5.02(b). Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On February 24, 2005, Walton B. Mahon declined to be nominated for re-election as a Class III director at the 2005 Annual Meeting. He has no disagreement with management or the Board of Directors. Mr. Mahon has served on the Board of Directors of Union Bankshares Corporation (and its predecessors) for 40 years, serving as its Chairman from 1993 to 1998. He also served as President and CEO of Union Bank & Trust Company from 1965 to 1991.
