Item 8.01 Other Events.
On July 10, 2019, Atlantic Union Bankshares Corporation (the “Company”) announced that its Board of Directors has authorized (effective July 8, 2019) a share repurchase program to purchase up to $150 million of the Company’s common stock in open market transactions or privately negotiated transactions, including pursuant to a trading plan in accordance with Rule 10b5-1 and/or Rule 10b-18 under the Securities Exchange Act of 1934, as amended. The authorization permits management to repurchase shares of the Company’s common stock from time to time at management’s discretion. The actual means and timing of any shares purchased under the program will depend on a variety of factors, including the market price of the Company’s common stock, general market and economic conditions, and applicable legal and regulatory requirements. The repurchase program is authorized through June 30, 2021 (subject to regulatory approval for purchases after July 8, 2020), although it may be modified or terminated by the Board of Directors at any time. The repurchase program does not obligate the Company to purchase any particular number of shares. A copy of the Company’s press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated by reference into this Item 8.01.
